Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Motif website, checkout flow, license service, installer, desktop application, integrations, support channels, documentation, updates, and related services (collectively, the "Services"). By purchasing, downloading, installing, activating, accessing, or using Motif, you agree to these Terms.

1. Who May Use Motif

You must be at least 18 years old, or the age of legal majority where you live, to use Motif. If you use Motif on behalf of a company, studio, school, organization, or other entity, you represent that you have authority to bind that entity, and "you" includes that entity.

2. Software License

Motif is licensed, not sold. Subject to your compliance with these Terms, the End User License Agreement, valid purchase terms, and any applicable device or seat limits, Motif grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the object-code version of the desktop software on supported Windows systems for your own personal, professional, or internal music-production workflow.

The Motif End User License Agreement applies to the desktop software, installer, bridge components, and local integrations. If these Terms conflict with the End User License Agreement solely as to the desktop software, the End User License Agreement controls for the software.

3. Supported Workflows

Motif is designed for supported Windows systems and supported DAW workflows. Current supported workflow targets include:

• Ableton Live 12+
• Studio One / Studio Pro 7/8
• FL Studio 24+

Roadmap features, future integrations, beta features, and preview functionality are not guaranteed and may be changed, delayed, limited, or discontinued. Compatibility may depend on DAW version, operating-system configuration, permissions, plugin environment, third-party updates, and local machine state.

4. Activation, Entitlement, and Device Limits

Paid use requires a valid Motif activation key or entitlement issued through an authorized channel. Motif may verify activation, license status, entitlement scope, app version, device identifier, workstation limits, usage limits, and anti-abuse signals before or during use. If a license is expired, revoked, refunded, charged back, transferred without authorization, exceeded, suspected of abuse, or otherwise invalid, Motif may suspend or disable paid features.

You are responsible for keeping activation credentials confidential and for all activity associated with your license credentials.

5. Local DAW Integration Files

When you install Motif or enable an integration, you authorize Motif to create, install, update, repair, replace, modify, back up, or remove local helper files, bridge files, scripts, configuration files, mapping files, logs, runtime state, IPC files, and related components in user-level DAW folders, per-user application data folders, ProgramData folders, and other documented Motif runtime locations as needed to provide, secure, update, or repair supported features.

For Studio One / Studio Pro workflows, Motif may update integration, key scheme, macro, or control-related configuration files, including bindings used by Motif bridge functionality. Motif generally attempts to preserve backups before replacing supported existing configuration files, but backups are not guaranteed in every environment. You are responsible for maintaining backups of projects, sessions, presets, DAW settings, plugins, custom mappings, and important local files before using automation, repair, bridge, or integration features.

6. AI Features and User-Provided API Keys

Some Motif features use artificial-intelligence services to generate suggestions, automation guidance, workflow instructions, or related outputs. This release may require you to provide your own AI provider API key for AI features. Motif does not provide a shared AI provider key.

When AI features are used, prompts, instructions, DAW state summaries, plugin names, parameter names, arrangement metadata, audio-derived analysis text, and related request context may be sent to the configured AI provider under your provider account or API key. Your use of an AI provider is also subject to that provider's terms, privacy notices, rate limits, account rules, and fees.

AI outputs may be incomplete, inaccurate, unexpected, or unsuitable for your project. You are responsible for reviewing outputs before applying them, maintaining backups, and deciding whether an AI-generated suggestion is appropriate for your workflow.

7. User Content, Projects, and Output

As between you and Motif, you retain your rights in your music, audio, project files, prompts, creative inputs, and other content you provide to or use with Motif. Motif does not claim ownership of your music or DAW projects merely because you use the Services.

You grant Motif the limited rights necessary to process your content and related technical data to provide, secure, troubleshoot, and improve the Services, including license activation, support, diagnostics, DAW integration, and AI-request handling where enabled. You represent that you have the rights necessary to submit and use your content with Motif and any configured third-party AI providers.

8. Restrictions

You may not, and may not permit any third party to:

• copy, redistribute, resell, rent, lease, lend, sublicense, host, timeshare, or commercially exploit Motif except as expressly permitted in writing;
• share, publish, sell, transfer, or make available activation keys, license credentials, entitlement tokens, or access credentials;
• bypass, disable, modify, tamper with, or interfere with activation, entitlement, device-limit, update, security, telemetry, or anti-abuse mechanisms;
• reverse engineer, decompile, disassemble, derive source code from, or create derivative works of Motif, except to the limited extent such restriction is prohibited by applicable law;
• remove, obscure, or alter copyright, trademark, attribution, proprietary-rights, or third-party notices;
• use Motif to violate law, infringe third-party rights, distribute malware, interfere with networks or systems, or gain unauthorized access to any service; or
• use Motif in any high-risk environment where failure could lead to death, personal injury, severe property damage, or environmental harm.

9. Payments, Taxes, Refunds, and Chargebacks

Prices, plan details, device limits, and entitlement terms are stated at checkout, in your receipt, in the product interface, or in a separate written agreement. Prices may exclude taxes, transaction fees, exchange-rate charges, or third-party provider fees unless stated otherwise.

Payments are processed by Stripe or another payment processor. Motif does not receive full card numbers from Stripe. Purchases are final once a license or digital product is issued or made available, except where a refund is required by applicable law or expressly stated in Motif's written refund policy. If a payment is reversed, charged back, disputed, fraudulent, refunded, or not completed, Motif may suspend or revoke the corresponding license and related access.

If recurring subscriptions are offered, renewal, cancellation, and billing terms will be presented at checkout or in the applicable account flow. You authorize Motif and its payment processor to charge applicable recurring fees until you cancel through the provided cancellation method.

10. Third-Party Services, Software, and Trademarks

Motif may interoperate with or reference third-party products and services, including Ableton Live, Studio One, Studio Pro, FL Studio, REAPER, Pro Tools, Stripe, Python, PyInstaller, Inno Setup, and other tools, libraries, frameworks, plugins, or platforms. Third-party products and services are provided by their respective owners and may be subject to separate terms, licenses, privacy notices, fees, and technical requirements.

Ableton Live, Studio One, Studio Pro, FL Studio, REAPER, Pro Tools, Stripe, Python, PyInstaller, Inno Setup, and all other third-party names, logos, marks, and product names are the property of their respective owners. Motif is not endorsed by, sponsored by, or affiliated with those owners unless expressly stated in writing.

11. Updates and Service Changes

Motif may provide updates, patches, repairs, compatibility changes, bridge updates, integration updates, security fixes, and feature changes. Some updates may be required to continue using paid features, license validation, DAW communication, or supported workflows. Motif may add, modify, suspend, or discontinue features at any time, subject to applicable law and any written purchase commitments.

12. Privacy

Motif's data practices are described in the Motif Privacy Policy and any privacy notices presented in the installer, website, checkout, support, or desktop application. By using Motif, you acknowledge that Motif may process information necessary to provide, activate, secure, support, and improve the Services.

13. Termination

You may stop using Motif at any time. Motif may suspend or terminate your access, license, or entitlement if you violate these Terms, violate applicable law, fail to pay amounts due, misuse activation credentials, exceed license limits, interfere with security controls, or create risk for Motif, users, licensors, or third parties. Upon termination, you must stop using Motif and delete or uninstall all copies in your possession or control.

14. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOTIF AND THE SERVICES ARE PROVIDED "AS IS," "AS AVAILABLE," AND WITH ALL FAULTS. MOTIF DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AVAILABILITY, COMPATIBILITY, AND ERROR-FREE OR UNINTERRUPTED OPERATION.

Motif does not warrant that the Services will preserve DAW files, be compatible with every DAW version, plugin, device, workflow, operating-system build, or third-party update, produce any particular creative result, or prevent data loss. You are responsible for backups and for verifying all automation, integration changes, and AI outputs before relying on them.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOTIF, ITS OWNERS, AFFILIATES, LICENSORS, SERVICE PROVIDERS, SUPPLIERS, AND DISTRIBUTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES; LOSS OF PROFITS, REVENUE, GOODWILL, DATA, PROJECTS, AUDIO, PRESETS, BUSINESS OPPORTUNITIES, OR USE; BUSINESS INTERRUPTION; COMPUTER FAILURE; DEVICE FAILURE; DAW OR PLUGIN MALFUNCTION; OR COST OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOTIF'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO MOTIF FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) USD $100.

16. Indemnification

You will defend, indemnify, and hold harmless Motif, its owners, affiliates, licensors, service providers, suppliers, and distributors from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to your use or misuse of Motif, your content, your violation of these Terms or applicable law, your infringement or misappropriation of third-party rights, your use of third-party AI providers, DAWs, plugins, or services, or unauthorized use of your activation credentials.

17. Export Controls and Sanctions

You may not use, export, re-export, download, or transfer Motif except as authorized by United States law and the laws of the jurisdiction where Motif is obtained or used. You represent that you are not located in, under the control of, or ordinarily resident in a country or region subject to applicable embargoes or sanctions, and that you are not listed on any applicable restricted-party list.

18. Dispute Resolution; Arbitration; Class-Action Waiver

Before filing a claim, you and Motif agree to try to resolve the dispute informally by emailing support@motifai.music with a description of the dispute and requested relief. If the dispute is not resolved within 30 days after notice is received, either party may begin formal proceedings.

To the maximum extent permitted by law, any dispute, claim, or controversy arising out of or relating to Motif or these Terms will be resolved by binding individual arbitration administered by the American Arbitration Association under its applicable Consumer Arbitration Rules or Commercial Arbitration Rules, as applicable. Either party may bring an individual claim in small-claims court if it qualifies.

You and Motif waive any right to a jury trial and agree that disputes will be brought only on an individual basis, not as a plaintiff or class member in any class, collective, consolidated, private-attorney-general, or representative action. You may opt out of this arbitration provision by emailing support@motifai.music within 30 days after first accepting these Terms with the subject line "Arbitration Opt-Out" and your name, email address, and activation key or order identifier.

19. Governing Law and Venue

These Terms are governed by the laws of the U.S. state where Motif maintains its principal place of business, without regard to conflict-of-law rules, except that the Federal Arbitration Act governs the interpretation and enforcement of the arbitration provision. For disputes not subject to arbitration, you and Motif consent to the exclusive jurisdiction and venue of the state and federal courts located in or nearest to Motif's principal place of business, unless applicable consumer law requires a different forum.

20. Changes to These Terms

Motif may update these Terms from time to time. The updated version will be identified by its "Last updated" date. Material changes will apply prospectively unless a shorter period is required for legal, security, operational, or anti-abuse reasons. Continued use of Motif after updated Terms become effective constitutes acceptance of the updated Terms.

21. General Terms

You may not assign or transfer these Terms without Motif's prior written consent. Motif may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, change of control, or operation of law. If any provision is held unenforceable, the remaining provisions will remain in effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable. Failure to enforce a provision is not a waiver. These Terms, together with applicable purchase terms, the End User License Agreement, the Privacy Policy, and third-party notices, form the entire agreement between you and Motif regarding the Services.
